1. Services Provided

PulseTech Services provides Infor ERP consulting and related professional services, including:

• ERP support and maintenance
• System enhancements and configuration
• Third-party integrations
• Data migration
• Version upgrades
• Multi-site rollouts
• End-to-end ERP implementations

The specific scope of services for any engagement will be defined in a separate proposal or service agreement.

2. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Cooperate with reasonable requests from PulseTech Services during an engagement
• Make payments in accordance with agreed terms
• Ensure that authorised personnel are available for key project activities including testing, training, and sign-off
• Comply with all applicable laws and regulations

3. Fees and Payment

All services are subject to the following payment terms:

• Fees are as quoted in the applicable proposal or service agreement
• Payment terms are net 15 days from invoice date unless otherwise agreed in writing
• Late payments will attract interest at 24% per annum on the outstanding balance
• The client is responsible for all applicable taxes, duties, and governmental charges unless otherwise stated

4. Intellectual Property

Unless otherwise agreed in writing:

• PulseTech Services retains ownership of all pre-existing methodologies, tools, templates, and intellectual property
• Upon receipt of full payment, the client receives a licence to use the agreed deliverables for their internal business purposes
• PulseTech Services may reference the engagement for general marketing purposes (e.g. listing the client as a reference) unless the client requests otherwise in writing

5. Confidentiality

Both parties agree to:

• Hold all confidential information received from the other party in strict confidence
• Not disclose confidential information to any third party without prior written consent
• Use confidential information solely for the purposes of the engagement
• These obligations survive the termination of any engagement

6. Warranties and Limitations

PulseTech Services warrants that all services will be performed with reasonable skill, care, and professional diligence. However:

• PulseTech Services does not guarantee uninterrupted or error-free operation of any ERP system or third-party software
• PulseTech Services is not liable for failures, defects, or limitations in third-party products, platforms, or services
• Total liability of PulseTech Services in connection with any engagement is limited to the fees paid for the specific service giving rise to the claim

7. Termination

Either party may terminate an engagement:

• With 60 days written notice for convenience
• Immediately upon written notice in the event of a material breach by the other party that remains uncured after 60 days notice
• Upon termination, the client remains responsible for fees for all work completed and reasonable expenses incurred up to the date of termination

8. Data Protection

PulseTech Services will comply with all applicable data protection laws. Any client data accessed or processed during an engagement will be handled solely as necessary to deliver the agreed services and will not be retained beyond what is required for that purpose.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Mumbai.

10. Changes to Terms

PulseTech Services reserves the right to update these Terms at any time. The revised version will be published on this page with an updated date. Continued use of our services following any such update constitutes acceptance of the revised Terms.
